Allen D. Emmel

Allen’s practice focuses primarily on the areas of commercial real estate, business transactions, business licensing, and commercial and real estate litigation.

Allen’s real estate practice involves all aspects of real estate law including, acquisitions and dispositions, development, leasing, financing, construction, condominium and common interest communities, and real estate related environmental matters. He also works in the area of nonperforming loans, loan workout, foreclosure, and receivership. Allen’s business practice focuses on organizing, establishing and operating business entities, together with liquor and other business licensing. Allen also has a broad range of experience representing clients in a variety of real estate and commercial disputes in both state and federal court.

Allen brings substantial real estate business experience as a developer and commercial property owner that gives him practical insight into his representation of clients in real estate matters. He has successfully negotiated various complex issues in connection with major residential and commercial real estate projects; has represented borrowers and lenders in connection with acquisition, construction and permanent multi-million dollar financing; and has represented a variety of national and regional landlords and tenants in connection with the leasing of retail, office and other commercial premises. Allen also regularly provides advice to new and existing business owners including medical practice groups. He also litigates business and real estate matters statewide including, partnership and corporate dissolution, landlord/tenant, receivership, and general commercial and business disputes.

Allen received his J.D. California Western School of Law and his B.S. from Penn State University. He currently serves as a board member and legal counsel for Habitat for Humanity Las Vegas. Prior to attending law school Allen worked as the Environmental Coordinator for mining company with responsibility for environmental compliance of various mining projects in the Western United States.

 
 

Neal A. Klegerman

Neal has represented public corporations, start-ups, venture and later stage private companies and investors in a variety of business transactions and financings. He also advises clients on compliance with securities and corporate, LLC, and other entity laws and represents clients in dealing with the SEC.

Neal advises professional entities including medical practices. He also represents companies in obtaining local business licensing including liquor. Finally, Neal works on corporate and securities law aspects in litigation matters.

During his career, Neal has represented domestic and foreign companies ranging from those in their development stage to Fortune 500 companies on numerous corporate and securities matters including securities offerings, merger and acquisitions, counseling compliance, SEC matters investigations, and board of directors matters.

Before moving to Nevada, Neal was a partner of the law firm of Baker & McKenzie in its Chicago office. Neal was with Baker & McKenzie for 21 years. During that time he held various management positions in the corporate and securities practice.

Since moving to Nevada, Neal continued his corporate and securities practice at a major Nevada law firm for seven years before becoming one of the co-founders of Emmel & Klegerman PC.

Neal received his J.D. from Columbia University and his B.A. from Grinnell College with Honors in Economics and Phi Beta Kappa.

Neal has been recognized in several lists of leading Nevada corporate lawyers including Chambers USA, The Best Lawyers in America ®, and Nevada Super Lawyers.
